I can only think of two reasons for the timing of the merger announcement:

1. ASND is going to miss earnings too, and they would be offering a greatly reduced stock price as currency for the transaction, OR (hopefully)
2. ASND wanted CSCC bad enough to make their bid before the pre-announcement drove down CSCC's price and more bidders entered into the fray.
