MAZZ, wasn't REG S mentioned as not a problem in GA Bards' old Due Dillies, not omitted in mention? Omitted now. RE:
I want Boardwalk and Park Place; not, Mediterranean and BALTIC- Collect $200 as you pass go, unless the stock price has fallen, then; collect $1000 for every big %age related fall...ie a $1.00 fall to a dime can 10 bagger with's Reg S securities( a dillutive affect). Food for though, if there are any S thoughts or deeds/ actions? OK, is there any Reg S out there ...now...within the last whatevers- say start 40 + days before the biggie drop. The Middie Drop ( the span of 40 days wbetween the 6 buck to 3 buck drop? ) Now even. Proper Due Dilly would have a lock on such an answer, is it on the list? POS/PAS?

Summary of Reg. S investment opportunity
The basic reason that substantial net returns are available in the purchase and resale of Reg. S securities is as follows:

The USA Securities and Exchange Commission (SEC) has very strict, complex, time consuming and therefore costly regulations.
It may therefore cost from $500,000 to $1,000,000 and take six months to register a securities offering in the USA.
The SEC is not able to effectively apply its jurisdiction outside of the USA.
It therefore permits, under Reg. S, the sale of securities outside of the USA to non US persons without registration in the USA and the resale of those securities into the USA market after a 40 day holding period.
Companies are willing to sell, under Reg. S, for a lower price because they have saved the registration costs and do not have the time delays associated with a USA offering and SEC registration.
Many companies are prepared to give price protection to the purchaser so that should the price decrease during the holding period then the company will issue more shares so that the investor will not suffer a loss due to a decrease in the share price during the holding period.
There are many companies prepare to make Reg. S offerings requiring various amounts of investment for various lock up periods.
It is therefore possible to use the same investment capital two to four time per year and turn a 15% discount on each investment into a 40-50% rate of return without taking undue risk.

Q: What guaranty do I have that I will not lose money? Is not investing in unregistered securities risky?

A: The company issuing the shares will be registered with the SEC, will file reports, including audited financial statements with the SEC and will be audited by an independent SEC approved CPA firm. After the 40 day holding period, the shares are free trading in the same way as registered shares. You only have the additional risk of holding for the 40 day period.

Q: A lot can happen in 40 days. The price of the shares could go down and then I would lose money. Is not this a very big risk?

A: It is possible to get price protection from the issuing company so that if the price of the shares decreases during the 40 day holding period, then more shares are issued to the investor so that he does not suffer any loss due to a decrease in the price of the shares during the 40 day holding period.

Q: That is all fine and well if the company lives up to its obligations but they could default. Would I not lose money then?

A: We only deal with reputable companies that live up to their obligations. This is the same level of risk that you have in any transaction. The point is that the business can be done in such a way that the investor does not undertake any additional risk, yet does benefit from additional reward.

Q: So if this is such a good deal why does not everyone do it?

A: The law does not permit everyone to do it. Only persons who are not USA citizens or residents are permitted to invest under the Reg. S rules. There are many persons who are investing this way and benefiting accordingly. It is not, however, easy to find the best companies who wish to issue the share under the best terms and conditions. That is why we are able to charge substantial fees for our services. Never the less, this is an anomaly in the market which will not be available forever. It is important therefore to act now.
