BioLogix Open Exchange Period Ends But Current Shareholders May Continue to Exchange
NEWPORT BEACH, Calif.--(BUSINESS WIRE)--Sept. 3, 1999-- Thehealthchannel.com Inc. (OTC BB:THCL - news). As announced on Aug. 4, 1999, BioLogix International Ltd. (formerly OTC BB:BGIXE) sold thehealthchannel.com Web site and certain related technology to thehealthchannel.com Inc. (OTC BB:THCLV.OB; formerly IVTX) formerly known as Innovative Tracking Solutions Corp. (the ``Asset Acquisition').
As announced on Aug. 10, 1999, in connection with the Asset Acquisition, shareholders of BioLogix were offered the opportunity to exchange their shares of BioLogix for shares of thehealthchannel.com. There was an open exchange period from Aug. 6, 1999, through Sept. 3, 1999, during which investors could purchase shares of BioLogix on the open market and exchange them for shares of thehealthchannel.com. This open exchange period has now concluded.
Therefore, if you hold shares of BioLogix as of Sept. 3, 1999, you may still exchange those shares for an equivalent number of shares of thehealthchannel.com. However, if you purchase shares of BioLogix on Sept. 4, 1999, or later, you may not exchange those newly acquired shares for shares of thehealthchannel.com. Thehealthchannel.com will continue to honor all requests for exchanges from holders of BioLogix stock provided that the BioLogix stock was acquired no later than Sept. 3, 1999.
To exchange your BioLogix stock for shares of common stock of thehealthchannel.com complete a Letter of Transmittal and send it to the Exchange Agent as described in the instructions.
BioLogix has sent Letters of Transmittal and accompanying instructions to every shareholder listed in its transfer records, however, if you are a BioLogix shareholder and you have not yet received such a letter, e-mail BioLogix at ``investorrelations@hotmail.com,' call 888/663-8003, or send mail to thehealthchannel.com Inc., 5000 Birch St., Suite 4000, Newport Beach, Calif. 92660, with your name and address and a Letter of Transmittal will be sent to you.
Please indicate if you would prefer to receive the Letter of Transmittal by mail, facsimile, or e-mail along with your appropriate address, fax number, or e-mail address. A copy of the Letter of Transmittal will also be posted on thehealthchannel.com Web site; just click on the ``Investor Relations' prompt on thehealthchannel.com home page at thehealthchannel.com.
You may also wish to note that BioLogix is no longer being quoted on the over-the-counter bulletin board system, but is being quoted on the pink sheets.
