I cannot agree with you.

1. ASND is offering 0.7 share of ASND to 1 share of CSCC. So, greatly
reduced stock price of ASND or no, it's still the same share, plus
if the price of ASND is too low, CSCC will vote against it.

2. My gut feel is that ASND knows about the bad earning announcement
of CSCC before they announced the merger or CSCC knows ASND will
announce the merger before they announce the earning warning.
