Programming/Digital Content: New Business Model Television

The formation of WaveXpress comes at a crucial time for the broadcast industry. The FCC has mandated that all TV outlets provide digital broadcast by 2003. Currently 50 percent of the U.S. population has access to DTV over 70 stations.

WaveXpress will provide plug-in servers to DTV broadcasters for transmission of digital content services from WaveXpress and other content aggregators, including local content. It will also provide receivers and client device software for PCs that permit user purchase of products and services through the system.

· Digital content is programmed for market segments by WaveXpress and sent via satellite to broadcast TV partner stations.

· The broadcast partner stations use a WaveXpress server to embed the local and national content into existing TV broadcast channels, then transmit it over the air or via cable to the home or business user's PC side by side with TV programming. The content can be transmitted at pre-determined data rates or in opportunistic bandwidth, which uses DTV bandwidth not required for transmission of native television pictures.

· Based on user preference, the WaveXpress software and hardware 'capture' the data content from the broadcast and stream it to the user (live events) or cache it for later use (software, video highlights, etc.).

· The user can review the content's price and merchandising terms (such as purchase, rental, or subscription) and has the option of accepting or rejecting use of the content through the EMBASSY trusted-client.
