Opus Minerals has entered into an agreement with Taurus Capital Markets to act as an exclusive agent to raise up to $750,000 in equity financing to advance Opus's international exploration programs. It is anticipated that Taurus will market a private placement to arm's-length third parties of up to three million units of Opus at 25 cents per unit. Each unit will consist of one common share and one common share purchase warrant exercisable at 35 cents for a period of 30 months from date of issue. The units will be subject to applicable resale restrictions. Taurus, acting as exclusive agent, will receive compensation in the amount of 7 per cent of the gross proceeds raised and 10 per cent of the number of units issued under this offering. The issuance of warrants and agent compensation units are subject to shareholder approval, to be sought at the next annual meeting scheduled to be held Oct. 28, 1999. The offering is also subject to regulatory approval.
