Stockholder Protection Rights Agreement-- from the July 1 PR

Upon announcement that any person or group has become an Acquiring Person each Right will entitle its holder to purchase, for the exercise price($45), a number of shares of IMPCO Common Stock having a market value of twice the exercise price....

...If any person or group acquires between 15% and 50% of IMPCO's Common Stock, IMPCO's BOD may, at its option, exchange one share of IMPCO Common Stock for each Right....

Not sure how the BOD will react to the BERU takeover announcement. As I stated before, the BERU activity has not been hidden from anyone following IMPCO. It looks like the BOD may redeem the Rights for common shares, should they find the offer acceptable. Boy would I like to be a fly-on-the wall for the BOD meeting.
