The value of the deal was calculated based on the exchange rate (.7 Ascend shares for each Cascade share) multiplied by the number of Cascade shares outstanding times the value of 1 share of Ascend - or .7 X (Cascades shares out) X Ascend's share price 3/30/97.

The stock swap was figured at $3.7 Billion because at the time the announcement was made Ascend was trading at more than $50. The day after the deal was announced the value of the deal fell substantially because Ascend's share price dropped on the news. Therefore it was no longer a 3.7 billion deal but became a 2.8 billion (or whatever) deal.

The value of the deal will fluctuate until the deal is actually consummated at which point you will know the total value since the value of the Ascend share will have been fixed.
