The Air Canada Offers

The offers would entitle holders of Air Canada common and Class A non-voting shares to receive $8.25 per share in cash or, at the election of the holder, one common share of AirCo, subject to proration so that the aggregate consideration payable under the offers to Air Canada shareholders does not exceed 50% cash or 50% shares of AirCo.
