Medinah management wanted to maintain value in these other properties so somebody came up with the idea to split the company in two.

Not quite. Medinah management realized they were running out of Medinah Mining shares to dump on the unsuspecting, so they created a seperate company, sold their own "assets" to themselves, and now have a vehicle to run through the entire private placement-through-going public game they ran with MDHM.
