Let's take a look at this paragraph:
"In connection with the agreement, the companies will develop" (why the future tense here? Can't they just install software? Or does it still need to be written?) "applications that enable NDB customers to receive new account numbers, transaction notifications, and legal
confirmations via encrypted ZixMail messages. The arrangement also allows NDB to be an early adopter" (does this mean free?) "for corporate ZixMail usage."

Where are the words exclusive, or contract, or compensation? Tim
