DJ Impco Tech Says Beru's $14/Shr Offer Inadequate

CERRITOS, Calif. (Dow Jones)--Impco Technologies Inc. (IMCO) said its board unanimously determined that an offer from Beru Atiengesellschaft to purchase the company for $14 a share in cash is inadequate.
In a press release Tuesday, Impco said Questor Partners Fund L.P. (X.QUP), its largest investor, expressed "full support" for the board's decision about the offer. Questor holds a 24% stake in the company.
As reported Sept. 8, Beru's offer gives the deal an estimated value of $115.9 million. Beru already owns a 15% stake in Impco.
Nasdaq-listed shares of Impco closed down 1/8, or 0.9%, at 14 1/4 on Monday.
Beru Atiengesellschaft is a unit of Beru AG (G.BRU), a German automotive engines maker. Beru sells automotive engines to original equipment manufacturers in Europe, including Bayerische Motoren Werke AG (G.BMW) and DaimlerChrysler AG (DCX).
Impco sells alternative fuel products and services.
