Adding more RAM never hurts, but if you have 128Mg, you should be doing ok. RAM prices have gone through the roof recently, so you're probably better off waiting a bit anyway.

Upgrading your video card to 16Mg normally requires a completely new card, unless the one you has as a spot for a memory module on it (Matrox and ATI have some cards like that). Besides, unless you're running very high resolutions at a solid refresh rate, going to 16Mg or 32Mg is pointless...unless you're into games. A good 8Mg card should do you very well.

That said, none of those two things should have any effect on the download of data. What program are you running? Do you have anything else going at the same time, and last but not least, what type of connection are you running? 56k dialup, ISDN, cable, or ADSL?
