VoiceStream Wireless Corp., a provider of wireless
communications systems, said Monday it had agreed to buy Aerial
Communications Inc., a digital cellular phone firm majority-owned by
Telephone & Data Systems Inc., in a deal worth $1.8 billion.

VoiceStream said it would exchange 0.455 share of its common stock
for each share of Aerial common and Series A common. Aerial
shareholders will have the option to receive $18 cash per share in lieu of
VoiceStream stock.

Shares of VoiceStream, which previously agreed to buy wireless carrier
Omnipoint Corp. for $1.7 billion, were off almost $3 at $53.38 on the
Nasdaq stock market. Shares of Aerial jumped more than $2.75, to
$23.75.
