By law.... but are you equating the law with reality?
The fact is an "accredited investor" is not required to show any sophistication about their investment strategy apart from the size of their holdings and/or their income. (And have you ever heard of anybody checking up to see if someone is "accredited"). It's simply protection for the company and a signing away of some rights by the investor. No "sophistication" - in the true sense - need be demonstrated.

When holders from a private placement start to sell it indicates nothing but their need and/or impatience and, sometimes, ignorance.

Once again you are grasping at straws with weak arguments and poor logic.
