Excerpts from a LETTER by ZSUN's Counsel to Lexington...

a Company that has allegedly approached foreign holders of ZSUN shares to buy the stock cheaply, probably to help shorters cover their "naked" and other Shorts.....

Lexington's statement that ZiaSun is on the list of American Securities scheduled to be de-listed is false. ZiaSun 's common stock is listed on the NASD OTC Bulletin Board and ZiaSun is in full compliance with all listing requirements.

Additionally, Lexington's statement and reference in its letter that "new rules pertaining to NASDAQ-AMEX listed companies that require said companies to now file Form 10-K's and Form 10-Q's", are also false. For your education, companies listed on the NASDAQ and AMEX have for sometime been required to file Form 10-K's and Form 10-S'.

Your statements in reference to "level 3" and "NASDAQ-AMEX" are grossly false and further demonstrates Lexingtons' lack of knowledge of the new rules and listing requirements for the NASDAQ, AMEX and OTC Bulletin Board.

The statements made by Lexington and its representatives are clearly false, misleading and have been fraudulently and intentionally made for the purpose of soliciting and inducing ZiaSun shareholders to sell their shares at their detriment in order to Lexington and its principals to profit from such false representations.
