Fully diluted shares.

The fiscal 1996 financials used a figure of 15,000,000+ as the number of shares outstanding.

Pursuant to both the January 30, 1997 and the follow-up February 21 1997 $8 million Private Placement (PP) news releases, management indicated that 8.1 million shares were involved in the PP and also indicated 2.5 million shares held by management were returned to treasury.

Fully diluted shares outstanding should now total approximately 20,500,000.
