The company has now closed the transaction for the acquisition of the 70% reversionary interest in Net Nanny Ltd. Shareholder and regulatory approval was granted for the issuance of 645,000 shares to Gordon Ross and Joan Campbell as compensation for acquiring the 70% interest from the original Net Nanny shareholders. Net Nanny Software International has now acquired 100% of Net Nanny Ltd in perpetuity. The shares issued will be subject to a hold period and may not be traded in BC until October 1 1997 unless traded pursuant to an exemption under the Securities Act.
