Staruni Corp. Prepares to Become Reporting
Company

BEVERLY HILLS, Calif.--(BUSINESS WIRE)--Sept. 23, 1999--Staruni Corp. (OTC BB:SRUN - news) announced that it
is in the final stages of an audit of its financial statements so that it will be a fully reporting company with the Securities and
Exchange Commission.

The company expects to file a Form 10 with the commission within the next 30 days.

Staruni, based in Southern California, provides Internet access and e-commerce solutions to both individual and business
users. Staruni is aggressively expanding its customer base through the acquisition of existing providers, as well as strategic
alliances with e-commerce companies.

Staruni is presently developing various e-commerce sites. They include officewarehouse.com, an online office supply store;
igold.com, an online jewelry store; ibargain.com, a general merchandise store; loveandmarriage.com, a wedding registry site;
casinodirectory.com, a cyber-guide to domestic and international gaming; and whattup.com, a Yahoo-type portal.

Staruni has recently bought a 50 percent interest in ``The Agents Hotel Guide,' which it plans to put on the Internet, as well as
significant interest in Image-Photo Systems (OTC BB:BIDD - news) and Unitransact Business Solutions (OTC BB:UTNS -
news).

Bruce D. Stuart, chief executive officer, stated that ``I feel that becoming a reporting company will be a significant step to
eventually being listed on Nasdaq.'
