Arbitrage is where you use one security to short the other with no risk. In this case a common can be sold whether you own it or not (shorted) and a warrant is the no risk backup if case you get hung or caught you merely exercise the warrant but should the shorting be effective and the common drops then cover by buying the common do not exercise the warrant and sit back to wait for the next run.

Simply: Arbitrage is profit realized when two independent markets are played against each other.
