GE Medical gets U.S. antitrust okay for OEC deal

WAUKESHA, Wis., Sept 24 (Reuters) - Medical equipment maker GE Medical Systems, a unit of General Electric Co. (NYSE:GE - news), said Friday its proposed acquisition of OEC Medical Systems Inc. (NYSE:OXE - news) has cleared U.S. antitrust review.

OEC shareholders will vote on the proposed transaction at a special meeting schedeuled for Chicago on November 29.

Under the deal, OEC shareholders would receive about $36 per share payable in GE common stock.

The actual number of shares of GE common stock that each OEC shareholder would receive would be based on the trading prices of GE for a period of time prior to the closing of the transaction.

OEC shareholders of record as of September 30 are entitled to vote on the proposed merger, the companies said.

OEC Medical Systems, based in Salt Lake City, Utah, makes and markets medical imaging systems.

Shares of OEC were up 1-5/8 at 35 in trade on the New York Stock Exchange.
