Sam and Thread, I am wrong about the secondary pricing. The filing states that pricing was... "...estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(c) under the Securities Act of 1933 and based upon the price of SanDisk's common stock as reported on the Nasdaq National Market on August 10, 1999."
