ed -
I've been reading this nonsense about the job of the CEO for a while - why do you presume to know what the job description is? For many companies, the job description includes managing share price and includes bonuses for enhancing share price. I guess you think that is inappropriate but it is commonly done and few think it is wrong.

I am pretty happy with where Gates and Ballmer have taken my MSFT investment over the years - I first bought in 1991. But then I don't much care about day to day price moves.

If you don't like the way MSFT executives are running your company, you can try to change the management through shareholder action (lots of luck on that one) or you can sell and invest in a company who adheres more to your philosophy.

But please stop this crap about the CEO's charter - it is whatever the board and CEO decide.

BTW, Ballmer is not CEO of MSFT...
from the MSFT web page

Organizational Structure Overview
In March 1999, Microsoft President Steve Ballmer and Chairman and CEO Bill Gates restructured the company into distinct customer-centered business groups. This reinvention of the company is part of an ongoing process and will be fully implemented over several months.

Indicating that Gates is still CEO.
