I thought that the Reg. S or Reg. D was the last chance financing before bankruptcy?

(couldn't resist :-)

I've seen such secured facilities in start-ups too. The most recent is LKON, but that isn't a pretty story. They bled out and are now looking for a buyer of their technology and intellectual property, considered the best in their industry (this week).

In any case, it is cash, and they needed it. They have been admitting as much in their filings the last few Q's.
