Group West formalizes merger with CyPost

Group West Systems Ltd., an application service provider, has formalized an
agreement with CyPost Corporation in followup to the merger announcement
(Stockwatch, Sept. 15, 1999). The transaction is for all of the outstanding
shares of Group West. Shareholders of Group West will receive 629,451
common shares of CyPost following completion of CyPost 3-for-2 split.
"Due to feedback from our shareholders regarding the growth potential of
CyPost, we have defined the specific share ratio involved in this
transaction," said Bill Ste. Marie, president and chief executive officer
of Group West. "With this transaction, Group West has significantly
deepened its content offerings and is in a position to leverage its
strengths and experiences in the application service provider industry with
CyPost's expertise in the field of privacy and protection solutions."
Group West shareholders will be scheduled to vote early November to obtain
final approval for the transaction.
