To be truthful Manfred I had a tough time trying to understand your message. But I think I caught its meaning.

Since the private placement is closed and the money is in the bank I would have to say the selling of free trading shares to pay for lower priced "restricted" shares has finished. The fact that UPGD closed with a strong bid at $3.50 is very encouraging. For the past several weeks UPGD has struggled to break through $3.50. If it trades and holds above $3.50 tomorrow I would interpret that as a bullish signal.

Have you also noticed that recently UPGD trades at a premium on the OTC BB? Whereas in the past UPGD usually traded at a premium on the German markets. I too find it encouraging that UPGD is gaining some recognition from US investors. Most of UPGD's initial support came from Germany. Now that UPGD is developing an American audience the stock should do better as the "Ultra Card" 5mb smart card" story unfolds.

best wishes

etc.
