Vancouver, BC, Aug. 26, 1999 (Market News Publishing via COMTEX) -- Arthur W. Lilly, President of Global Cogenix Industrial Corporation (the "Company") wishes to announce that the Company has completed a settlement agreement with the former President, Mr. Edward Gallagher, the former Chief Financial Officer, Mr. Erwin Liem and with Rangestar Telecommunication Ltd.
Messrs. Gallagher and Liem agreed to (a) assume a debt of $ 267,981.00 due to Rangestar Telecommunications Ltd. and (b) return 150,000 common shares of the Company for cancellation as satisfaction for unpaid consideration on the exercise of common share options and warrants.
Rangestar Telecommunications Ltd. will receive a 2% net profit interest for three years from July 21, 1999 in the proposed Log Creek Hydroelectric project.
At the annual general meeting held July 21, 1999, Mr. Arthur W. Lilly, Mr. Robert Hughes and Me. Ernest J. Taylor-Smith were elected directors of the Company. At that meeting the shareholders also approved the issue of 2,500,000 earn-out escrow performance shares, subject to Vancouver Stock Exchange acceptance.
