I'll explain. First off, a 2PO is priced at a discount to the current market price. Moreover, buying off an offering means you're guaranteed (once priced) your cost for the block of shares you're getting. Ever try to buy 100,000 or 200,000 shares of a stock that averages less than 300,000 shares per day? It's brutal, and unless you have a week or two to do it, you'll get taken on such a ride your a$$ will be sore for weeks.

The secondary allows larger investors to buy-in big at a discounted price and avoids the potential for getting bid-up b/c of news or MM games.

That said, the USAB price still sucks.
