I have some mild concerns on this deal between GMST, TVGIA:

1. The Board is being expanded to 12 people. 6 from TVGIA. The big boys (Malone, Murdoch) own big chunks. Any danger of a struggle in upper management if Malone et. al decide to change things?

2. Culturally and operationally these two companies may be quite different. There may be quite a bit of pain and turmoil before things settle down. Not sure if the implications would be long lasting and create execution risk.

3. Anybody worried about the regulatory hurdles? The reason I worry is because the lock on the EPG market seems so huge.
