Xybernaut(R) and American Systems Corporation
Form Strategic Alliance to Provide Training and Maintenance Solutions

FAIRFAX, Va., Oct. 6 /PRNewswire/ -- Xybernaut Corporation (Nasdaq: XYBR - news), the leader in wearable computing,
and American Systems Corporation (ASC) announced today that they have entered into a strategic alliance. Under the
agreement, ASC will provide professional engineering services and full training systems support in combination with Xybernaut's
Mobile Assistant® IV (MA IV(TM)). This combination of systems engineering, program management, training technologies and
delivery techniques, and cutting edge hardware will enable the companies to deliver advanced training systems, Interactive
Electronic Technical Manuals (IETM), and maintenance support systems.

Edward G. Newman, president and CEO of Xybernaut, stated, ''By combining the engineering and training development skills
of ASC with Xybernaut's advanced wearable computing technology, we will be able to introduce powerful new job
performance aids to the workplace, provide customers significant mentoring and reference assistance to the worker, and reduce
the number of personnel needed to operate and maintain complex systems of the future. This alliance will allow Xybernaut to
bring new and valuable solutions to both its existing and new markets.''

According to Elliot Needleman, president of ASC, ''ASC is very excited to be entering into this strategic alliance with
Xybernaut. We are confident that the combined unique expertise of our companies will result in state-of-the-art solutions for our
customers.'' He added, ''A large potential market exists amongst ASC's customer base for both government and commercial
applications. Although competing hardware delivery systems tend to be large and difficult for the average user to work with
effectively, the MA IV is extremely powerful while being highly portable, which lends itself to ASC's user requirements.''

The companies will focus on developing solutions for training and engineering. Xybernaut's wearable computing technology,
coupled with the right suite of programs and data to match clients' needs, represents a major step forward in the development of
reliable and effective training solutions. These systems are especially appropriate for applications where a ''hands-free''
requirement exists and/or a ''virtual knowledge assistant'' is needed. ASC's Training System Division has insight into customers
and organizations who are seeking advance distributed learning products to enhance the performance of their employees in a
''just in time'' manner, as well as an understanding of the programs and data those potential customers desire. The use of
Xybernaut's technology as a tool to provide real-time maintenance and diagnostic data and the ability to reduce the maintenance
training on existing systems will provide a competitive advantage to ASC's Systems Division.

Xybernaut's wearable computer, the Mobile Assistant® IV (MA IV(TM)) is being shipped worldwide. This full-function
productivity tool features all the benefits of a powerful WINTEL Pentium PC, with complete wireless communication
capabilities. It comes packaged as a belt-worn computer, with users' choice of memory and hard drives, two PC card slots, a
color VGA head-mounted display with microphone and earphone or an optional wrist-mounted VGA flat panel touch screen
color display, a miniature keyboard, a battery pack, and integrated voice-recognition software.
