Tue 12 Oct 99 Preliminary Prospectus
TSE Bulletin 99 1222
Research In Motion Limited has filed a preliminary prospectus for an
offering of an additional issue of common shares.
As soon as possible the exchange will list the prospectus shares for
trading on an "if, as and when" basis under the trading information set out
below. Prior to listing the prospectus shares, the exchange will issue a
ticker notice confirming both the price and the expected closing date for
the prospectus offering.
Symbol: RIM.W
Cusip No: 760975 99 5
Settlements -- subject to the closing of the prospectus, i) all trades in
RIM.W on and before the fourth trading day preceding the closing date will
be for special settlement on the closing date and will appear on the
settlement report from CDS; and ii) all trades in RIM.W for each of the
three days preceding the closing date will be for settlement three business
days after the trade date and will appear on the settlement report from
CDS. If the prospectus offering does not close all "when issued" trades
will be cancelled. No securities will be delivered and no money will be
owed by the purchasers to sellers.
Parties entitled to receive shares under the prospectus offering may sell
such shares in the "if, as and when issued" market without being subject to
restrictions on short sales. Parties who are not entitled to receive shares
under the prospectus offering must comply with the short sale rule in all
respects for any sales they make in the RIM.W market.
If and when the prospectus offering closes, there will be no further
trading in RIM.W and shares issued at such closing will trade on a regular
settlement basis in the RIM market.
