David, thanks for the calculations, they look good - just in a bad way:-(

I was hoping for a ratio closer to 7, 6.2 is on the low end of where TSQD has been trading anyway.

IMO this lawsuit is based on some guy who thinks TSQD's getting screwed by DRIV and he wants TSQD to try for a better deal. Obviously Ronning and TSQD do not agree, they (and I) think they probably got the best deal they could under the circumstnaces. Based on the PR is appears that they are trying to convince the individual to drop the suit, which IMO he probably should.

Who filed the lawsuit? I assume we'll all be getting letters soon to join the class action lawsuit, personally I will respond with a request that they drop the suit - unless someone can show any benefit of waiting any longer for a better deal.

My guess is the person who filed the suit bought a bunch of TSQD at a ratio higher than 6.2, and at a higher price - sour grapes.

Perhaps if TSQD gets oversold and the suit is dropped TSQD can attract some new suppport and get ~6, but the uncertainty and the extended time frame will no doubt hurt TSQD in the short term.

Bummer
