Why do you think $3.33 a share is fair? My understanding of preferred/ convertible share convertion rate is usually above current share price. Reason: convertible has less risk than stock because the principle is guaranteed. convertible also has potential upside. it is fair to have price above current price. It is not fair for $3.33 (< 30% of current price ) a share. Of course, my understanding of this typical convetible pricing is based on public convertibles.

Another question: What is difference between private convertible and public convertible?? Are there any real regulation difference? I know Reg S convertible is ripoff, however, I do not understand this CDRD private convertible financing very much.
