Your analysis relies heavily on the integrity of the board. I'm not sure I have as much confidence in them as you do. Many, if not all, are friends of Cowpland. They appear to give him great freedom to run the company as he pleases. I have seen nothing from them in the past that would indicate they would force his resignation.
