My two cents worth on the proxy material.

The company forwards the material to the brokers for all shares held in street name, and pays them to mail it to the shareholders.

My experience is that it often never gets sent, gets sent late, or occasionally shows up in a timely manner.

It's the brokers fault, and they don't care. For the most part the companies don't either, because they have legally done their part.

Blame the broker first, it technically isn't Novells fault. (except for Joe's!)
