Allan -- Doc is off running his new company; if someday he were to want to take a run at BSFE, it would be a new event, with a new proxy contest, etc. But he's not proposing that. His point (and he's convinced me) is that you don't give tenure to professors, teachers, or anybody else, until they've done something to earn it. And these guys haven't earned it yet. If these rules had been in effect a year ago, I don't think they could have gotten Doc out! I don't know why they need anti-takeover rules to attract good directors. They DO need indemnification provisions, directors' insurance, and stuff like that. That's reasonable, and they've already got it. Doug
