Actually, I did have an owner drop his tender, but that was because his bank intervened due to his other loans (they eventually sold the company at a better price). I'm just trying to make sense of the differences in premiums I see in these various deals. Right now I am still learning the arbitrage game. I notice sililarities here to Sbarro's which was bought out by its founding family this year, yet there the discount was only about 10% (and it took them over a year to do it after it was announced).
