Anyone who listened to the conference call would realize that RATL's management has a thorough understanding of all aspects of the transaction. Surely, they considered the buy vs. build option. Trying to build a better product would require a lot of time and resources and would require them to displace PASW's loyal customers. I doubt that they have dozens of developers sitting around looking for something to do.

Its also clear that management understands the customers, products and direction of the marketplace infinitely better than the Wall Street analysts who are trashing the deal. I don't think the analyst's have much understanding at all of the value of these products to their customers. Levy was openly critical of several questions on the call that demonstrated this. I'll put my money on management over the analysts any day.

I don't necessarily agree that the presence of the "Three Amigos" will make the acquisition go more smoothly, but I do think it goes a long ways towards ensuring that RATL's products will always be the leader in incorporating the latest in software development methodology.

While they may indeed struggle with the acquisition over the next 12 months or so, I'm very confident that they will emerge as an industry powerhouse.
