Creative thinking for Noam and his Investment Bankers....

Follow the lead of C-Cube. Sell OA to, um JDUniphase, in a stock swap valued at maybe $40 per MRVC share and spin the rest, including NBase and all the startups to shareholders...Thoughts?

Harmonic to Buy C-Cube Subsidiary
In Stock Deal Valued at $1.46 Billion

By DEAN TAKAHASHI
Staff Reporter of THE WALL STREET JOURNAL

Harmonic Inc., positioning itself to transmit video-on-demand to
cable-television networks, agreed to buy the Divicom subsidiary of
C-Cube Microsystems Inc. for $1.46 billion in stock.

In a parallel transaction, C-Cube plans to spin off or sell its remaining
semiconductor operations upon the close of the Harmonic deal, ending
C-Cube's existence as a separate public company.

Under the deal, C-Cube shareholders will receive 0.5427 share of
Harmonic stock for each share of C-Cube they own, or about $32.75 a
share based on Harmonic's closing price Wednesday. They will also
receive shares of the spun-off semiconductor subsidiary or a share of any
proceeds from selling that business.
