Justice sues to block Compuware acquisition

WASHINGTON, Oct 28 (Reuters) - The government announced Thursday it will file suit to block Compuware Corp.'s (NasdaqNM:CPWR - news) proposed purchase of Viasoft Inc. (NasdaqNM:VIAS - news), asserting the merger would increase the price of some mainframe software.

The Justice Department said that the two firms compete against each other around the world in software used on mainframe computers for testing and debugging and for ''fault management.'' Justice said that the software was ''crucial to maintaining efficient operations'' for many users of mainframe computers.

''The effect of this transaction would be to remove an important competitor -- Viasoft -- and to strengthen Compuware's dominance over these important mainframe'' products, said Joel Klein, assistant attorney general in charge of antitrust, in a statement.

Testing/debugging software is used to check for errors in programs and to fix program code in case of a computer crash. Fault management software detects and diagnoses errors that caused the crash.

Justice said Viasoft was the closest competitor to Compuware in the testing/debugging market. It recently entered the fault management market and appeared to be poised to become a significant competitor, the government said.

''We are currently in process of weighing our options as far as how we want to respond,'' said Gray Reynolds, a spokesman for Compuware at the firm's headquarters in Farmington Hills, Mich. Viasoft has headquarters in Phoenix, Ariz.
