Dear Mr. Stress: Dont quite follow your post. Stocks often drop when a big convertible goes on the market due to potential dilution and all. However, note that the conversion price is 45. I personally would be satisfied FOR AWHILE with a price at 45. So I dont see it as dilutive and presuming the invest the cash wisely should certainly return more than the 6+ dividend rate. JDN
