Doug - It was obvious to the interim "office of the CEO" that big restructuring charges would need to be taken to clean up the acquisition mess. Jim Kelley (bless his black heart) was I think the first to suggest that the shape of the AV settlement (some cash, some stock) was designed to produce income to offset those charges. There is nothing wrong with that IMO - it is just prudent management to arrange the disposition of assets in as favorable a way as possible for both near-term financials and long term strategic benefit (through the ownership stake in CMGI and in AV).
