Your recent email to Play Co. Toys & Entertainment Corp. ("Play Co.") has been forwarded to our office, General Counsel for same, for response thereto.
Please be advised that the Series E Preferred Stock you hold is convertible, at your option, any time after December 29, 1999. Each share is convertible into 6 shares of Common Stock for a period of three years, thus, until December 29, 2002.
All you must do in order to convert these shares is have your broker forward your certificate to Play Co.'s transfer agent, Continental Stock Transfer & Trust Company ("Continental"), along with a letter from you requesting the conversion. Continental will then issue the Common Stock.
