John, I wouldn't even think about upgrading the processor; it's usually not cost effective. If you look today at 2-4 year old machines, the only thing that makes them obsolete is lack of memory, and lack of memory expansion possibilities. A 200Mhz PPro is still a fine CPU for anything except game playing. Tyan (tyan.com) makes some sweet motherboards. I love their GX board, and they just announced a 840 board if you want Rambus.
