The point.......

LGE has known, since September 28, 1999, of our motion to lift the automatic stay, allowing us to file a derivative lawsuit against LGE and Zenith's directors in state court.

They have until November 3 to respond in writing but have asked for an extension. On November 5, the motion is scheduled to be acted upon by Judge Walrath.

We believe that LGE has orchestrated the destruction of Zenith through a series of alleged acts of self-dealing fraud. Only in Delaware Chancery court (or other state court) can these allegations be judged since these are alleged breach of state corporate laws.

The point of our motion is that if we win in state court, there is no need for bankruptcy. All Zenith's "debts" to LGE will be cancelled and measures will be taken to assure adequate oversight of all Zenith operations (assuring that Zenith's best interests are represented, not simply those of LGE).
