<<(From ITEM 2. Page 7)
"The Company believes that with the cash on hand and net
operating loss carryforwards, subject to the limitation of such
carryforwards under the Internal Revenue Code, such a combination may
be attractive to potential partners and would better serve the
interests of the Company's shareholders."

(Mr. Pappajohn has bought $420,000 worth of PCES in July and October
so he now owns effectively 44.73%. Interesting!)>>

Brad: You have chosen to focus on some key information.....PCES is a VERY attractive shell, Pappajohn is now the President, and Pappajohn is also the majority shareholder (who has been buying shares aggressively since this summer).....I do find that interesting. I have faith in Pappajohn and IMO he will optimize shareholder value. That is why PCES continues to be my largest holding. It may not be keeping up with my AGIL today BUT I'll be patient. We have had a nice run with PCES and I expect it to continue and accelerate in the future -- when all the cards are out on the table...I don't know of a better shell to invest in. Pappajohn's track record is legendary....I sure wish we had been involved with more of his companies over the years. Oh well, our large PCES investments could give us A LOT to be thankful for in 2000...<VBG>!!

Best Regards,

Scott
