  Pamela Strand, President of Shear Minerals Ltd. announces that the company has signed an agreement with Ellesmere Minerals Ltd ("Ellesmere", ASE:ELM), which will allow Ellesmere to acquire Shear's interest in the Australian Syndicate, which owns an 80 percent interest in Kinver Mining NL. In exchange for Shear's undivided 20 percent interest in the Syndicate, Ellesmere will transfer its interest in the following properties to Shear: 1) Ellesmere's 50 percent interest in the Miminiska Lake Property; and 2) Ellesmere's Alberta Properties which include: a 100 percent interest in the Pelican Mountain, Thickwood Hills, and Muskeg Mountain properties and an 85 percent interest in the 550,000 acre Boys From the Hall Block. In addition, Ellesmere will issue to Shear 100,000 common shares of Ellesmere and Shear will issue 150,000 common shares of Shear to Ellesmere. This acquisition allows Shear to focus as a Canadian exploration company exploring Canadian properties. Shear announces the termination of its investor relations contract with MINEPRO International Inc. Shear also closed its private placement on November 30, 1998 of 549,332 Units, each Unit is comprised of one common share and one warrant to acquire one common share within two years at an exercise price of $0.21. Each unit was priced at $0.15. The transaction with Ellesmere is subject to regulatory approval. If approved it is the intention of Mr. Michael Dufresne to resign from the Board of Directors and as Officer.

  Shear Minerals Ltd. Acquires Interest in Nicholas Bay Kimberlite, Northwest  Territories
  EDMONTON, ALBERTA--Shear Minerals Ltd. (Alberta Stock Exchange: SRM) is pleased to announce the acquisition of a 50 percent interest in the Alymer Lake West Property ("Property") from ADEX Mining Corp ("ADEX"). The property consists of 7 mineral claims (18,077 acres) which host the Nicholas Lake Kimberlite. This kimberlite was discovered jointly in 1994 by SouthernEra Resources Ltd/ Winspear Resources and ADEX. Past diamond recovery results returned 213 diamonds from 350 kg of drill core (209 microdiamonds <0.5mm in the longest dimension and 4 macrodiamonds >0.5mm in the largest dimension). The remaining 50 percent interest is held by Winspear Resources Inc.
  The Property is located 360km northeast of Yellowknife and 90 km southeast of the Ekati Diamond Mine. The property adjoins the Intertech Minerals Corp./Kennecott Canada Afridi Lake Property where the Jordan Kimberlite was recently discovered and the testing of 30 airborne geophysical targets is underway. Other active diamond programs in the area include Pinewood Resources Ltd. and Pure Gold/Diavik Diamond Mines/Aber. Prior airborne geophysical survey data on the Property indicate that many potential kimberlite targets remain to be tested. Shear will be reviewing and re-interpreting all prior exploration data on the Property. An aggressive 1999 exploration program is planned in light of prior results and based on the success of bordering exploration programs. Shear is fortunate to have acquired this advanced property which is located in an area of renewed diamond activity and successes and looks forward to future discoveries.
  This acquisition allows Shear to focus as a Canadian exploration company committed to diamond exploration in the NWT and Alberta. Shear is also encouraged by the results to date on their Coronation Diamond Property in the northeast Slave Province as well as their Alberta Properties where a summer program is currently being outlined.
  Under the terms of the Agreement ADEX will transfer its 50 percent interest in the Property in return for 200,000 shares of Shear. The transaction with ADEX is subject to regulatory approval. The Corporation also announces the resignation of Michael B. Dufresne from the Board of Directors in order to focus on his consulting commitments. The Board wishes to thank Mr. Dufresne for his past effort and dedication and we look forward to a continued relationship with Mr. Dufresne as technical consultant. Shear will be applying to the ASE to amend the exercise price of the options previously granted to certain directors and officers to acquire an aggregate of 600,000 common shares from $0.225 to $0.10 per share. The options will expire on December 11, 2002.

Riley Conkin as COO and Termination of Investor Relations Contract Ellesmere Minerals Ltd. ("Ellesmere") announces that it has signed an agreement with Shear Minerals Ltd. ("Shear"), which will allow Ellesmere to acquire Shear's 20 percent interest in the Australian Syndicate, which owns an 80 percent interest in Kinver Mining NL ("Kinver"). Ellesmere's acquisition of Shear's interest provides Ellesmere with controlling interest (60 percent) of the Australian Syndicate. Kinver holds a 90 percent interest in the Jaurdi Hills Property ("Property"), located 40 km north of the historical mining district of Coolgardie in Western Australia. An independent mining engineering report by Australian Mining Consultants (AMC) in 1996 reviewed the ore reserves and economics for the Property, and reported a Global Resource of 573,815 tonnes grading 3.52 g Au/t (64,894 oz Au) above cut off grade of 1.5 g Au/t to a depth of 50m within three open pit deposits.   Shear Minerals Ltd Announces Additional Property Acquisitions in Alaska and  Alberta
  EDMONTON, ALBERTA--Shear Minerals Ltd. (Alberta Stock Exchange: SRM)("Shear")  Shear has entered into a Letter of Intent with Shulin Lake Mining Inc.  ("Shulin") that allows Shear the right to earn a 50% interest in Mining Claims  located in south central Alaska, USA by issuing Shulin 400,000 shares of Shear  and incurring $275,000 in exploration expenditures over 3 years. The property  contains a large 3-5km diameter circular positive magnetic anomaly that is  interpreted to be a high level intrusive. Historic to recent placer gold is  known in the region. Recent work by the property vendors indicates the  presence of gold and diamond indicator minerals in the drainage surrounding the  anomaly. Potential diamond indicator minerals obtained to date include  magnesium rich olivine, orthopyroxene, clinopyroxene and high chromium  chromite. Shear will investigate the property for kimberlitic/lamproitic  intrusions, base and the precious metal potential.
  Shear also has entered into a Letter of Intent with Sharata Resources Limited  ("Sharata") to acquire the OBED and Edson Properties, 260 km west of Edmonton.  Past work on the property consisted of 35 heavy mineral stream sediment  samples, 38 stream silt samples, 11 till samples and 5 rock grab samples.  Diamond indicator mineral analysis recovered more than 22 chromites with high  magnesium and chromium, 3-G9 pyropic garnets, more than 10 eclogitic garnets  and one chrome-diopside with excellent chemistries that suggest deep-seated  mantle origins. Other indicator minerals recovered include diopsides,  uvarovite garnets, spinels, and ilmenite. Anomalous gold also recovered in  surficial sediments in parts of the OBED property require further work to  determine the source. Rock samples indicate possibly anomalous silver as well  as lead, zinc, cadmium and chromium. Under the terms of the Agreement, Shear  can acquire 100% in the property from Sharata in exchange for 500,000 shares of  Shear and Sharata retains a 2% NSR.
  Both transactions are subject to certain conditions including a private  placement totaling $180,000 at $0.12 per share with a full warrant priced at  $0.16 per share, exercisable at any time up to two (2) years to be subscribed  by the individuals of Shulin and Sharata. The terms of both transactions are  subject to regulatory approval.
  Shear has also applied for 3 Metallic and Industrial Mineral Permits located 65  km north of Hinton where 23 diamonds were discovered from stream sediment  sampling in 1995 by New Claymore/Montello/Troymin.
