Steve,

A few thoughts after having read much of the S-1 and parts of the IDTC 10-k. Much of what I have read has turned me more into a long term investor in both NTOP and IDTC. NTOP appears to have a definite game plan in mind in how to establish itself as the premier brand of Internet Telephony. All of the deals are with major players, all of which spend mega bucks on advertising, hopefully CPT Kirk will be telling how NTOP/Priceline is a "really big thing".

IDTC also appears to have a game plan to continually leverage its position as a low cost telephony product provider for the international market. They too are clearly cutting deals with the major players in Euorpe and Latam. I would be surprised if Asia did not follow closely.

The only drawback I have seen in these documents is that it costs a lot of money to do these things, but this offering goes a very long way to provide that capital to both NTOP and IDTC.

AS usual, my greatest complaint is lack of visibility. Priceline got a big play when they partnered with ATT a couple of weeks ago, why not us? However, with the Terra Networks IPO and this primary/secondary offering by NTOP I now fully understand why management has been quiet recently and will have to continue to be quiet. I also suspect there are more things to come shortly that would in of and itself impose quiet periods on the two companies. This is a stock that will probably have a much greater visibility and respect on the street by say Jan/Feb as these quiet periods expire and the strategic partners incorporate us into their advertising.

A final note on a buyback, the SEC does not require selling shareholders to say what they are using the proceeds for.
