("RIS")] ULTRA PETROLEUM CORP ("UP") - Plan of Arrangement, Name Change, New Listing-Shares Plan of Arrangement Pursuant to a special resolution passed by the shareholders of RIS Resources International Corp. ('RIS') on October 12, 1999, RIS will complete a Plan of Arrangement under Section 252 of the Company Act (British Columbia). The Plan of Arrangement, as approved by the Supreme Court of British Columbia on October 25, 1999, and to be accepted by the Registrar of Companies on November 10, 1999, will result in the transfer of 11,726,245 shares of Ultra Petroleum Corp. owned by RIS, and $300,000 in cash to Ultra Holdings Inc. on the effective date of November 10, 1999. Name Change Pursuant to a special resolution passed by the shareholders of RIS on October 12, 1999, RIS has changed its name to Cubix Investments Inc. There is no consolidation of capital. Effective at the close of trading on November 9, 1999, the common shares of RIS will be delisted from the Vancouver Stock Exchange, and effective at the opening November 10, 1999, the common shares of Cubix Investments Inc. will commence trading on the Exchange as an Advanced Company.
