MetroplexWeb Inc. and American Business Management LLC Sign Joint
Venture Marketing Agreement and Create Alamocityweb.com City Directory

DALLAS--(BUSINESS WIRE)--Nov. 8, 1999--NetCommerce Inc. (OTCBB:NEET - news) Monday announced that its wholly owned subsidiary, MetroplexWeb Inc. (MetroplexWeb), recently signed a definitive joint marketing and revenue sharing agreement with American Business Management LLC of San Antonio.

Under the terms of the agreement, MetroplexWeb will create and manage an e-Commerce Internet Web site ''Alamocityweb.com,'' for American Business Management. The site will serve as a San Antonio city business directory. MetroplexWeb plans to create a similar directory for the city of Austin, Texas.

The agreement between the two companies, which was signed last week, is expected to create additional revenue for MetroplexWeb, expedite its expansion plans, and increase its market exposure.

Commenting on the agreement, Mark Lindberg, president of MetroplexWeb, said, ''We are very excited to find other entrepreneurs who share the same marketing ideas that we share. Matt Diana and Allen Radke, directors of American Business Management, bring tremendous enthusiasm and knowledge about their respective business climates.

''We are able to replicate our Dallas e-Commerce site and develop our marketing strategies at a quicker pace when we find business owners who share our vision of what the Web site and hosting business can produce in terms of growth of retail sales for merchants.''

American Business Management currently provides to the public proprietary software programs such as Tax Cut Express, Mediation Express, and ABM Mediation/Arbitration. Also, it has revenue sharing arrangements for Dorsey Discount Services, a discount dental plan, and EPS Plus.

''What MetroplexWeb brings to us is a proven system that has been developed in Dallas over the last three years,'' commented American Business Management President Matt Diana. ''We are certain we can implement their strategy to duplicate their successes here in San Antonio and Austin.''

NetCommerce is an Internet-related holding company which invests in, develops and operates Internet service companies from majority or wholly owned subsidiaries. NetCommerce's Internet services, including Web page design, Web-hosting and ISP marketing activities are conducted through MetroplexWeb. NetCommerce's Internet-related telecommunications services are in the developmental-stage. The services include prepaid calling cards, re-marketing of long distance services and its recent venture to license and acquire an equity interest in AnyUser.Net, for the marketing of the new Web
Video Phone software. All of the company's telecommunication services will be conducted through InterCom Inc., a Nevada corporation (InterCom). Both MetroplexWeb and InterCom are wholly-owned subsidiaries.

Presently, InterCom has pending the acquisition of 47% of AnyUser.Net and the licensing rights to AnyUser.Net's products in the North and South American markets. Anyuser.Net is a South Korean corporation founded in May 1999 by former principals and employees of internationally known South Korean-based telecommunications, Internet software and marketing companies. Anyuser.Net develops and markets software products as a replacement for the PC for those computerless homes and offices. The software is designed to support the rapidly expanding electronic appliance industry, with a
focus on the Internet-Telephony and Web Video Phone business segment.
